2. Application of These Terms

All estimates, quotations, services and goods supplied by Active Communications Limited are subject to these terms and conditions. No variation will apply unless agreed in writing by a director of the Company.

A signed quotation or purchase order referencing our quotation number constitutes unequivocal acceptance of these terms. By signing a quotation or forwarding a purchase order, the signatory confirms they have the authority to enter into purchase agreements on behalf of the individual or business named, in accordance with Part 4 of the Companies Act 2006.

3. Use of This Website

3.1 Permitted Use

You may use our website for lawful purposes only. You must not use the website:

  • In any way that breaches applicable local, national or international law or regulation.
  • To transmit unsolicited advertising or promotional material.
  • To knowingly upload or transmit any viruses, malware or other harmful code.
  • To attempt to gain unauthorised access to any part of our website, servers or connected systems.

3.2 Intellectual Property

All content on this website — including text, images, logos and software — is owned by or licensed to Active Communications Limited and is protected by intellectual property law. You may not reproduce or distribute any content without our prior written consent.

4. Quotations and Contract Formation

4.1 Quotations

All quotations are valid for 30 days from the date shown, unless otherwise stated in writing. Quotations are subject to site survey and uninterrupted access during normal working hours (09:00–17:00, Monday to Friday, excluding Bank Holidays). A quotation does not constitute a binding offer until we have provided written acceptance of your order.

4.2 Contract Formation

A binding contract is formed when we provide written confirmation of your order. These terms form part of every such contract. In the event of conflict between these terms and any other document, these terms shall prevail unless expressly agreed otherwise in writing by a director of the Company.

4.3 Scope of Works

The scope of services is as set out in the written quotation. The following are excluded unless specifically stated:

  • Work outside normal office hours (09:00–17:00, Monday to Friday, excluding Bank Holidays).
  • Patching in cabinets, jumpering, or plugging in data or telephone equipment at wall or floor outlets.
  • Removal and replacement of racking within storage areas.
  • Recovery or removal of redundant cabling or equipment.
  • Dismantling or specialist lifting of furniture or office equipment (our engineers are prepared to move standard desks and furniture, but items requiring dismantling or specialist lifting remain the customer's responsibility).

Any changes to the agreed scope must be confirmed in writing and may result in additional charges.

4.4 Asbestos and Hazardous Materials

If asbestos or other toxic substances are discovered during works, remediation and decontamination shall be arranged and funded by the customer. Active Communications Limited will not be held liable for any costs, delays or losses arising from the presence of such materials.

4.5 Fire Barriers

All penetrations through fire barriers will be reinstated using appropriate fire-stop materials as part of our standard works.

4.6 Customer Obligations

You agree to:

  • Provide accurate and complete information necessary to perform the services.
  • Ensure safe and suitable access to the premises at agreed times.
  • Obtain any necessary permissions, consents or building approvals prior to commencement of works.
  • Ensure that third-party systems or contractors we are required to interface with are available and compatible as reasonably required.

Failure to meet these obligations may result in delays or additional costs for which we will not be liable.

5. Prices and Payment

5.1 Prices

All prices are quoted in pounds sterling and are exclusive of VAT, which will be charged at the rate applicable on the date of invoice. We reserve the right to alter prices without notice; any changes will be advised at the time of order.

5.2 Payment Terms

Unless otherwise agreed in writing, all goods and services are payable on completion of installation or receipt of delivery. Where invoiced on account, payment is due strictly within 30 days of the invoice date.

For larger projects, a deposit may be required prior to commencement, with the balance payable on completion or in agreed stage payments as set out in the contract.

5.3 Late Payment

We reserve the right to charge interest on all unpaid sums at the rate of 3% per calendar month from the due date until the date of payment. In addition, we reserve the right to recover at cost any third-party costs incurred in the recovery or attempted recovery of unpaid invoices.

5.4 Retention of Title

All goods supplied remain the property of Active Communications Limited until the full purchase price and any other outstanding sums are paid in full, irrespective of any subsequent sale to a third party or the appointment of a receiver or liquidator.

We reserve the right, and the customer hereby grants us licence, to enter the customer's premises during normal business hours to remove goods in the event of non-payment within the agreed terms.

6. Supply of Goods

6.1 Availability

Most items are held in stock. Where any item is unavailable, it will be placed on back order for shipment when possible. We shall not be liable for any consequences — financial or otherwise — arising from any delay in fulfilling an order.

6.2 Damage in Transit

We will replace any goods proven faulty or damaged upon arrival. All such claims must be made by telephone and confirmed in writing or by email within 3 days of receipt. Claims made after this period will not be entertained.

6.3 Discrepancies

If upon receipt of goods you identify any discrepancy against the order placed, you must notify us in writing within 3 days of receipt. Claims made after this period will not be entertained.

6.4 Returns

Goods may only be returned by prior arrangement with us. Goods returned for reasons other than being faulty or defective must be unused, in saleable condition and in original packaging, and returned freight paid to our address. A minimum handling charge of 10% will apply to all such returns. Goods that have been specially modified or purchased to order may not be returned for credit. No returns will be accepted more than 30 days after the goods were dispatched.

6.5 Product Descriptions

Photographs, illustrations, dimensions, specifications and type numbers are provided as a guide only. We will endeavour to supply the exact product specified but reserve the right to supply similar items of minor detail difference where continued product development requires it.

7. Warranty and Guarantee

Unless otherwise stated in writing, all goods supplied carry a 12-month warranty against material failure or defective workmanship from the date of dispatch. Where goods prove defective and this is accepted by us, we will, at our discretion, repair, replace or refund the price paid.

No warranty applies to:

  • Goods that have been modified, altered or subjected to unauthorised repair.
  • Defects arising from misuse, neglect or use otherwise than in accordance with manufacturer guidelines.
  • Fair wear and tear.

Our installation workmanship carries a 12-month guarantee from the date of completion, subject to the system being operated and maintained in accordance with our recommendations.

8. Limitation of Liability

8.1 What We Do Not Exclude

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

8.2 Exclusions

Subject to clause 8.1, we shall not be liable for:

  • Any indirect, special or consequential loss or damage.
  • Loss of profits, revenue, business, contracts or anticipated savings.
  • Loss or corruption of data.
  • Any loss arising from our reliance on inaccurate information provided by you.

8.3 Cap on Liability

Our total liability to you in connection with any contract shall not exceed the value of that contract.

9. Accuracy of Information Provided

We make every effort to ensure the information we provide is accurate, but accept no liability for loss, damage or injury arising directly from any error or omission. Unless agreed in writing, no representation, statement or particulars provided shall form part of any contract.

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, pandemic, fire, flood, severe weather, industrial action, supplier failure or failure of utility services.

11. Data Privacy

We are committed to protecting your personal data. Our full Privacy Policy is available on our website at www.activecomms.co.uk/privacy and explains how we collect, use and store your information in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

12. Governing Law

These terms and conditions and any dispute or claim arising from them shall be governed by and construed in accordance with the law of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We reserve the right to update these terms and conditions at any time. The current version will always be published on our website. Continued use of our website or services following any changes constitutes your acceptance of the updated terms.
